- 20 Oct 2026: Sale (Form 4, code S), 10,203 sh @ $14.72, $150K 10b5-1 plan SEC filing →
What insiders at the companies we own are filing with the SEC: who is selling, how much, and whether it was pre-planned. Every row links to the original filing.
Directors, officers (as the SEC defines them) and owners of more than 10% of a class of the company’s stock must report a trade on Form 4 before the end of the second business day after it is executed. They first file a Form 3 within 10 days of becoming an insider. Form 5, due 45 days after the fiscal year ends, catches anything not already reported.

An affiliate selling restricted or control stock under Rule 144 files Form 144 when the sales in any three months exceed 5,000 shares or $50,000 (either threshold triggers it). The notice goes in when the sell order is placed with a broker, or when the sale is made directly with a market maker. It shows an intention to sell, not a completed sale. If the seller is a Section 16 insider, the executed trade appears later on Form 4.

Anyone who beneficially owns more than 5% of a registered class files Schedule 13D within 5 business days of crossing 5%, and amends it within 2 business days of a material change. A move of 1% or more of the class is deemed material. Passive investors, qualified institutions and certain exempt holders can file the shorter Schedule 13G instead. Its deadlines range from 5 business days for passive investors to 45 days after quarter end for institutions. Material changes are amended within 45 days of quarter end, with faster amendments when the holder crosses 10% and for moves of more than 5% after that. A 5–10% holder files 13D or 13G but not Form 4.

A Rule 10b5-1 plan is a written trading plan adopted while the insider has no material non-public information. Trades then run on a preset formula or schedule. For directors and officers, no trade may happen until a cooling-off period ends: the later of 90 days, or 2 business days after the next 10-Q or 10-K, capped at 120 days. A Form 4 now carries a checkbox for plan trades and the plan’s adoption date. A discretionary sale is one the insider chooses to make at the time, outside any plan. These sales usually tell you more.

S = sale on an exchange or to another person · P = purchase · F = shares withheld to pay an exercise price or tax (not a market sale) · A = grant or award from the company · M = exercise or conversion of an option or other derivative · G = gift. Since 2023, gifts must be reported on Form 4 within 2 business days rather than on Form 5.

Rank-and-file employees aren’t Section 16 insiders, so they don’t file Form 4. Neither do holders at or below 10%. Holders above 5% still file 13D or 13G, and an affiliate who isn’t a Section 16 insider may still file Form 144 before selling.

A lock-up is a private agreement between pre-IPO holders and the underwriters, not an SEC filing rule. Its schedule is disclosed in the IPO prospectus. When it expires, a large amount of stock can become sellable at once, which is a supply signal separate from insider filings. The underwriters can waive it early. Affiliates are still limited by Rule 144 volume caps and must file Form 144, plus Form 4 if they are Section 16 insiders.

Pre-IPO shares that become sellable, per the SpaceX IPO prospectus (424B4, 12 Jun 2026). Amounts are “up to” figures based on shares outstanding at 31 Mar 2026. Goldman Sachs can waive the lock-up early.
Second full trading day after the first earnings release (Q2 results, 4 Aug 2026). Date inferred from the release timing.
Only applied if the stock closed at least 30% above the $135 IPO price (≥ $175.50) on 5 of the 10 trading days ending 4 Aug 2026. Closes in that window were about $108–$125, so these shares were not released early.

Day 135. 24 Oct is a Saturday, so the first trading session is Monday 26 Oct.
Day 180. The prospectus gives 797.6M because the extra 10% was not released in August; it would have been 328.4M otherwise. Some summaries cite about 784M; the prospectus figure is 797.6M.
Second full trading day after the Q4 2026 release.
Day 280.
Second full trading day after the Q1 2027 release.
Day 340.
Day 366.
His lock-up ends after the close on day 366, with no early release. The prospectus rounds this to “up to 6.4 billion”. The 6.42B is the sum of his holdings in the ownership table (as of 1 May 2026), which includes 1.30B restricted Class B shares that vest only on performance conditions and 350M option shares. As an affiliate he is also capped by Rule 144 volume limits and must file Form 144 and Form 4.
End of the extended lock-up.
